Terms of Service

Effective September 11, 2026

These Terms of Service ("Terms") are a binding agreement between you and Riverstones LLC, doing business as PropertyDeals ("PropertyDeals," "we," "us," or "our"). They govern your access to and use of propertydeals.app and related websites, applications, content, communications, and services that link to these Terms (collectively, the "Platform").

By clicking an acceptance button, creating an account, or using the Platform after these Terms are presented to you, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Platform.

If you use the Platform for a company or other entity, you represent that you have authority to bind it. In that case, "you" includes both you and the entity.

1. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering a binding agreement. The Platform is intended for lawful U.S. real estate and business activity.

You must provide accurate information, keep it current, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account to the extent permitted by law. You may not impersonate another person, obscure who performed an action, share credentials in an unauthorized manner, or create a new account after suspension without our permission.

You may not use the Platform if your use is prohibited by sanctions, export-control, licensing, professional-conduct, anti-fraud, or other applicable law.

2. What PropertyDeals Is - and Is Not

PropertyDeals provides technology that helps users publish and evaluate real estate opportunities, organize deal information, connect with other users and professionals, market ownership or contractual interests, and record Platform activity.

Unless we expressly enter a separate written agreement stating otherwise, PropertyDeals is not:

  • a real estate broker, salesperson, agent, multiple listing service, auctioneer, finder, or representative of any user;
  • a party to, beneficiary of, guarantor of, or fiduciary for any transaction;
  • a lender, mortgage broker, securities broker-dealer, investment adviser, escrow holder, title company, insurer, property manager, appraiser, inspector, contractor, law firm, accounting firm, or tax adviser;
  • responsible for negotiating terms, drafting or reviewing transaction documents, holding funds, collecting commissions, performing closings, conveying title, or ensuring performance; or
  • a substitute for licensed legal, real estate, title, tax, financial, appraisal, inspection, environmental, construction, or other professional advice.

Users deal directly with each other and third-party professionals. PropertyDeals does not control or guarantee any user's identity, authority, solvency, licensing, conduct, property, contract, financing, performance, or outcome.

3. Roles, Profiles, and Verification

PropertyDeals may provide account roles, seller access, professional profiles, badges, reviews, reputation information, closing confirmations, or other status indicators. We may approve, deny, limit, revoke, or modify access or status using criteria we determine in good faith.

No application review, badge, status, title-company confirmation, closing confirmation, review, rating, identity check, or document submission is a background check, license verification, legal opinion, endorsement, or guarantee. A confirmation means only that the limited event described was reported or confirmed through the applicable process.

You must independently verify identity, authority, licenses, references, ownership, contracts, title, liens, and other material facts.

4. Listing Authority and Wholesaling Compliance

By creating, publishing, sharing, or marketing a property or deal, you represent and warrant that:

  • you are the titled owner, hold a valid contractual or equitable interest that you may legally market or assign, or have current written authority from the owner or interest holder;
  • you have obtained all required signatures, consents, notices, disclosures, and permissions;
  • the listing accurately identifies what is offered, including whether it concerns title, contract rights, an equitable interest, an option, or another interest;
  • you will not perform brokerage or other regulated activity unless properly licensed or exempt; and
  • you will comply with applicable federal, state, and local laws, licensing rules, contract restrictions, and disclosure requirements.

Real estate wholesaling laws differ by state and may require disclosures, contract language, cancellation rights, registration, or a license. For Wisconsin residential transactions, users are responsible for obligations imposed on real property wholesalers under Wisconsin law, including Wis. Stat. § 710.13, as amended. PropertyDeals does not determine whether a particular legal requirement applies to you.

Unauthorized marketing, sham interests, misleading advertising, undisclosed daisy-chaining, and marketing without lawful authority are prohibited. We may request evidence of ownership, contractual interest, assignment rights, authority, disclosure, or licensing, but our decision to request or not request evidence does not shift responsibility to PropertyDeals.

5. Listing Accuracy and User Due Diligence

You are responsible for the completeness, accuracy, legality, and currency of your listings and deal information. You must promptly correct or remove information that becomes inaccurate, unavailable, expired, terminated, sold, closed, or unauthorized.

PropertyDeals may review, delay, reject, redact, restrict, unpublish, or remove content but is not required to pre-screen or verify listings and is not liable for failing to detect an error, fraud, illegality, or dispute.

Real estate transactions are risky. Before relying on information or entering a transaction, you are responsible for appropriate independent due diligence, including as applicable:

  • confirming identity, authority, ownership, contract validity, assignment rights, licensing, and disclosures;
  • reviewing title, liens, judgments, taxes, zoning, permits, code, environmental conditions, surveys, utilities, insurance, property condition, and occupancy;
  • verifying measurements, repairs, rents, expenses, income, valuations, comparable sales, projections, financing, and marketability;
  • using reputable title or escrow professionals and independently verifying wiring instructions; and
  • consulting qualified legal, tax, financial, appraisal, inspection, construction, insurance, and real estate professionals.

Never send funds or sensitive information solely because a profile, message, badge, confirmation, or listing appears legitimate.

6. Fair Housing and Nondiscrimination

You must comply with the federal Fair Housing Act and applicable state and local fair-housing, civil-rights, accessibility, and anti-discrimination laws.

You may not create, publish, target, restrict, or use content that states or indicates an unlawful preference, limitation, or discrimination based on a legally protected characteristic. You may not use coded language, images, targeting, criteria, steering, or exclusion to accomplish indirectly what the law prohibits directly.

PropertyDeals may remove content or restrict accounts when it reasonably believes a fair-housing or discrimination risk exists. Users remain responsible for their content and targeting decisions.

7. User Content

"User Content" means information or material you submit, upload, import, generate, publish, or otherwise provide through the Platform, including listings, media, documents, profiles, reviews, and feedback.

You retain ownership of your User Content. You grant PropertyDeals and its service providers a nonexclusive, worldwide, royalty-free license to host, store, reproduce, format, transmit, display, and otherwise use User Content as reasonably necessary to operate, secure, improve, and provide the Platform and make content available to the audience and through the channels you select.

This license continues while the content is on the Platform and for a reasonable period afterward for backups, security, legal compliance, dispute resolution, and preservation of transaction or reputation records. Properly deidentified and aggregated information may be retained and used. We will not use a private contract document in public advertising or as an AI input unless you direct us to do so or we separately obtain appropriate permission.

You represent that you have the rights and permissions needed to provide your User Content and that our permitted use will not violate law, contract, privacy, publicity, intellectual-property, confidentiality, or other rights.

Do not upload unnecessary Social Security numbers, government IDs, banking information, medical information, passwords, consumer reports, biometric identifiers, or other highly sensitive information. Review and redact contracts, exhibits, photographs, and access instructions before upload.

If you provide feedback about the Platform, you grant us a perpetual, worldwide, royalty-free right to use it without restriction or compensation, provided we do not publicly identify you without permission.

8. Public and Restricted Content

Content designated for public or shared display may be viewed, copied, indexed, captured, or redistributed by others. Redaction, blurring, authentication, role restrictions, and access links reduce exposure but do not guarantee confidentiality.

You may access restricted content only for the authorized purpose and audience. You may not circumvent access controls, scrape restricted content, publish another user's nonpublic property address or documents, or redistribute deal materials without authority.

If you discover incorrectly exposed information, stop accessing or distributing it and report it to PropertyDeals.

9. Prohibited Conduct

You may not use the Platform to:

  • violate law, a professional rule, court order, contract, or another person's rights;
  • commit or facilitate fraud, deception, identity theft, wire fraud, money laundering, unlawful discrimination, harassment, threats, stalking, doxing, or violence;
  • post a false, misleading, duplicate, unavailable, unauthorized, or bait-and-switch listing;
  • steal, clone, remarket, daisy-chain, or redistribute a listing or deal without lawful authority;
  • misrepresent your identity, role, license, experience, transaction history, closing history, relationship, authority, or affiliation;
  • manipulate reviews, ratings, engagement, offers, closing confirmations, verification, or reputation features;
  • send spam or unlawful marketing;
  • upload malicious code, unlawfully obtained data, or content that infringes privacy, confidentiality, intellectual-property, or publicity rights;
  • use Platform data for unlawful housing, credit, insurance, employment, or other high-impact decisions;
  • scrape, harvest, index, train models on, or extract Platform data without written permission;
  • bypass access controls or rate limits, test vulnerabilities without authorization, disrupt the Platform, or gain unauthorized access;
  • offer, solicit, advertise, or sell securities or passive investment interests—including entity, fractional, pooled, note, syndication, or profit-sharing interests—through an ordinary property listing or other Platform feature unless PropertyDeals expressly authorizes that use in writing and it complies with applicable securities laws; or
  • assist another person in doing any of the above.

We may investigate and cooperate with users, rights holders, regulators, law enforcement, and service providers. We are not required to disclose investigative methods or take a particular enforcement action.

10. Reviews and Confirmed Closings

Reviews and testimonials must reflect a real person's genuine experience and may not contain false or misleading claims. You may not create or obtain a review from a nonexistent person; use AI to fabricate an experience; buy, sell, or condition an incentive on positive or negative sentiment; conceal a material connection; intimidate someone into removing an honest negative review; or misrepresent selected reviews as representative of all reviews.

Any payment, discount, employment, family relationship, ownership interest, or other material connection relevant to a review must be disclosed clearly.

PropertyDeals may label the source or status of a review, request substantiation, disclose material connections, or remove deceptive content. We do not guarantee the truth of reviews or confirmations. Nothing in these Terms prohibits an honest review of PropertyDeals, a report to a regulator or law enforcement, or another disclosure protected by law.

11. Third-Party Data and AI Features

The Platform may display information from ATTOM, public records, users, or other sources. Third-party information may be incomplete, estimated, delayed, or inaccurate. PropertyDeals does not warrant its accuracy, completeness, currency, or fitness for a particular purpose.

The Platform may link to or work with Google, title companies, professionals, mapping services, and other third parties. Their own terms and privacy practices apply when they act independently. Your dealings with third parties are between you and them.

PropertyDeals may provide AI-assisted tools for listing descriptions, marketing content, summaries, or other output. AI output may be inaccurate, incomplete, biased, offensive, or fabricated. You must review, edit, substantiate, and independently verify it before use.

You are responsible for content incorporating AI output and for compliance with advertising, fair-housing, intellectual-property, privacy, licensing, and real estate laws. AI output is not professional advice. You may not use AI features for fake reviews, discriminatory advertising, impersonation, fraudulent documents, or unlawful marketing. Current AI listing tools are not emergency or crisis services.

12. Buyer Profiles, Contact Sharing, and Deal Communications

By creating or using a buyer profile, you direct and authorize PropertyDeals to make your designated profile, contact information, investment criteria, and related marketplace information available to eligible sellers and other authorized Platform participants as described in our Privacy Policy and according to Platform access rules and your settings.

When your professional profile is eligible for public display, your available email address and phone number are shown on your public profile by default. You can hide either contact method at any time in Account Settings. Seller CRM and deal-private contact records are separate from these public-profile settings.

The purpose of this sharing includes helping you receive and discuss potentially relevant real estate deals, connection requests, listing information, invitations, and transaction opportunities through the Platform and, where permitted, through contact methods you make available.

You understand that eligible sellers and other authorized participants may contact you through email, telephone, or other contact methods you provide, subject to applicable law and your settings. PropertyDeals does not guarantee the frequency, relevance, legitimacy, availability, or suitability of communications or deals.

Creating or completing a buyer profile does not constitute consent to receive automated telemarketing calls, prerecorded calls, or marketing text messages where separate consent is legally required.

You remain responsible for the accuracy of your contact information, investment criteria, and sharing settings.

Sellers and other users who receive buyer contact information through the Platform may use it only for legitimate PropertyDeals marketplace and real estate opportunity purposes. Without limiting other restrictions in these Terms, sellers may not sell, license, or redistribute buyer contact information; scrape or bulk-extract Platform directories; create unrelated marketing databases; use buyer information for identity enrichment unrelated to the marketplace; harass buyers or send excessive communications; use deceptive sender identity; ignore applicable opt-outs; send unlawful commercial email; make automated marketing calls or send marketing texts without legally sufficient consent; share contact information with unrelated third parties; or continue using contact information after access or authorization has been revoked, except for legitimate legal or recordkeeping purposes.

13. Contact Imports and Third-Party Information

If you upload or import another person's contact information or other personal information, you represent and warrant that:

  • you obtained the information lawfully;
  • you have the authority and any legally required permission to provide it to PropertyDeals;
  • you are not uploading purchased, harvested, scraped, stolen, suppressed, or unlawfully obtained lists;
  • your requested communications have a legitimate real estate or Platform-related purpose; and
  • you will honor opt-outs and applicable privacy, advertising, email, telephone, and do-not-call requirements.

PropertyDeals may process imported information only to provide the requested contact, invitation, matching, network, deal-sharing, or transaction feature. Imported contacts are not deemed to have consented to unrelated marketing texts or automated calls solely because their information was uploaded.

14. Communications

We may send electronic communications about your account, security, transactions, requests, legal notices, matching, invitations, and Platform operation. You are responsible for keeping your contact information current.

Deal alerts, digests, and similar opportunity notifications are separate from unrelated PropertyDeals promotional campaigns. PropertyDeals does not currently operate a general commercial marketing email program to registered users. If we begin sending promotional marketing emails, we will provide an unsubscribe method and honor opt-outs as required by law. Opting out of promotional marketing does not stop service, legal, security, matching, invitation, or transaction messages.

We send automated or marketing text messages only after obtaining any consent required by law through a separate opt-in. Consent to marketing texts or automated calls is not required to create a buyer profile or use the Platform. Message frequency varies, and message and data rates may apply. Reply STOP to opt out and HELP for help, or use another reasonable revocation method when marketing SMS is active.

You may not use contact information obtained through the Platform for unlawful calls, texts, emails, or solicitations. You are responsible for consent, do-not-call screening, sender identification, opt-outs, and recordkeeping for communications you initiate.

16. Fees, Subscriptions, and Cancellation

The Platform is currently offered without a general subscription fee, although some current or future features may be paid. We will not charge you unless we present the price and material billing terms and you authorize the charge.

Before you enroll in an automatically renewing subscription or a trial that converts to paid service, we will clearly disclose the price, billing frequency, renewal terms, trial conditions, cancellation method, and material restrictions; obtain affirmative consent; provide an acknowledgment you can retain; and send notices required by law.

If you enroll online, you will be able to cancel online through a method at least as easy to use as enrollment, subject to reasonable authentication. Cancellation stops future renewal charges but ordinarily does not retroactively refund charges already incurred, except as stated at purchase or required by law.

Prices may change prospectively after notice. Taxes may apply. Any refund, credit, or trial terms presented at purchase are incorporated into these Terms.

17. Suspension and Platform Changes

You may stop using the Platform at any time and may request account deletion subject to the Privacy Policy and legally permitted retention.

We may remove or restrict content; limit features; suspend or terminate an account; preserve evidence; or take other reasonable action if we believe there is a violation of these Terms, fraud, a security risk, legal exposure, harm to another person, inactivity, nonpayment, or an operational need. We may act without advance notice when immediate action is reasonably necessary. Where practicable and legally appropriate, we may provide notice and an opportunity to appeal.

We may modify, suspend, or discontinue all or part of the Platform. We do not guarantee uninterrupted availability, error-free operation, preservation of all content, or compatibility with every device or third-party service. Keep independent copies of contracts, diligence materials, communications, and other records needed for a transaction.

18. Privacy

Our Privacy Policy explains how we process personal information. You must comply with privacy and data-protection law when providing or using information about another person.

19. Dispute Resolution; Arbitration; Class and Jury Waivers

Please read this section carefully. It requires most disputes to be resolved through individual arbitration rather than in court.

19.1 Informal resolution

Before filing arbitration or a lawsuit, the claimant must email a written Notice of Dispute to contact@propertydeals.info with the subject "Notice of Dispute." The notice must include the claimant's name, account email, the relevant facts, the legal basis, the requested relief, and a statement that the information is accurate.

The parties will attempt in good faith to resolve the dispute for 30 days after receipt. Either party may request an individualized telephone or video conference. Applicable limitation periods are tolled during this process where permitted by law.

19.2 Agreement to arbitrate

Except for the exclusions below, you and PropertyDeals agree that any dispute, claim, or controversy arising out of or relating to the Platform, these Terms, the Privacy Policy, communications, or your relationship with PropertyDeals will be resolved by binding individual arbitration.

The Federal Arbitration Act governs this Section. The arbitrator will decide issues of arbitrability, scope, formation, and enforceability, except that a court will decide issues concerning the class-action waiver or public injunctive relief where applicable law requires court review.

Arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules if applicable and otherwise under its Commercial Arbitration Rules, as modified by these Terms. The current rules and filing information are available at adr.org. If AAA is unavailable or declines to administer, the parties will select another nationally recognized provider or a court will appoint an arbitrator under 9 U.S.C. § 5.

Unless the parties agree otherwise, hearings will occur by video, telephone, written submissions, or in the county where you live when consumer law requires; otherwise, they may occur in Milwaukee, Wisconsin. PropertyDeals will pay arbitration fees to the extent required by applicable law and the governing rules. Each party bears its own attorneys' fees unless law or the arbitrator authorizes an award.

The arbitrator may award the same individualized remedies a court could award. The award will be written and may be entered in a court of competent jurisdiction.

19.3 Exclusions

Either party may bring an eligible individual claim in small-claims court. Either party may seek temporary or preliminary injunctive relief in court to protect intellectual property, confidential information, account security, or prevent unauthorized access while arbitration is pending. Nothing prevents a person from reporting to or seeking relief from a government agency.

19.4 Individual claims and jury waiver

You and PropertyDeals agree that each may bring claims only in an individual capacity, not as a plaintiff, class member, or representative in a class, collective, consolidated, or representative action or arbitration. The arbitrator may not combine claims or preside over a representative proceeding without all parties' written agreement. This does not waive a nonwaivable right to seek public injunctive relief.

For any dispute not subject to arbitration, you and PropertyDeals waive a jury trial to the maximum extent permitted by law.

19.5 Thirty-day right to opt out

You may opt out of arbitration by emailing a personally signed notice to contact@propertydeals.info within 30 days after you first accept these Terms. Use the subject "Arbitration Opt-Out" and include your full name, account email, and a clear statement that you opt out of arbitration. Opting out will not affect your account or the other Terms.

19.6 Changes to arbitration and court venue

If we materially change this Section after you accept it, we will provide advance notice. You may reject the change by following the opt-out method within 30 days of notice. Rejecting a change does not revoke an earlier arbitration agreement; the version you last accepted without timely rejection will govern.

For disputes that proceed in court, exclusive venue will lie in the state courts located in Milwaukee County, Wisconsin, or the United States District Court for the Eastern District of Wisconsin, except where applicable law requires another venue.

20. Disclaimers

To the maximum extent permitted by law, the Platform and all content, data, matches, recommendations, AI output, verifications, reviews, and third-party services are provided "as is" and "as available," without warranties of any kind.

PropertyDeals disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, security, and availability.

PropertyDeals does not warrant that any user, listing, property, contract, interest, license, review, closing, offer, data point, match, communication, or transaction is authentic, accurate, lawful, profitable, available, enforceable, financeable, insurable, or suitable; that defects will be corrected; or that the Platform will be uninterrupted or secure.

Some jurisdictions do not permit certain disclaimers, so they apply only to the extent permitted by law.

21. Limitation of Liability

To the maximum extent permitted by law, PropertyDeals, Riverstones LLC, and their members, managers, officers, employees, contractors, affiliates, licensors, and service providers (the "PropertyDeals Parties") will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, business, opportunity, goodwill, or data; property damage or personal injury arising from a user or property; or any transaction failure, wire fraud, user fraud, misrepresentation, contract dispute, data error, or third-party conduct, even if advised of the possibility.

To the maximum extent permitted by law, the total liability of the PropertyDeals Parties for all claims arising out of or relating to the Platform or these Terms will not exceed the greater of (a) $500 or (b) the amount you paid PropertyDeals for the Platform during the 12 months before the event giving rise to liability.

These limits apply regardless of legal theory and even if a remedy fails of its essential purpose. They do not apply to liability that cannot lawfully be excluded or limited.

22. User Disputes and Release

You are responsible for your interactions and transactions with users and third parties. PropertyDeals may assist or provide records but has no obligation to mediate, enforce private agreements, recover funds, or resolve a transaction dispute.

To the maximum extent permitted by law, you release the PropertyDeals Parties from claims and damages, known and unknown, arising from disputes between you and another user or third party, except to the extent directly caused by a PropertyDeals Party's breach of a nonwaivable duty.

If California Civil Code § 1542 applies, you waive that section, which states: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

23. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless the PropertyDeals Parties from claims, investigations, liabilities, judgments, settlements, penalties, damages, losses, and reasonable attorneys' fees arising out of or relating to:

  • your User Content, listing, profile, review, communication, marketing, or transaction;
  • your breach of these Terms or a representation made through the Platform;
  • your violation of law, a disclosure or license requirement, a contract, or another person's rights;
  • your fraud, negligence, willful misconduct, unauthorized disclosure, or misuse of the Platform; or
  • a dispute between you and another user or third party.

PropertyDeals may control the defense and settlement of a covered claim. You will cooperate and may not settle a claim imposing liability or an obligation on a PropertyDeals Party without written consent. This section does not require a consumer to indemnify PropertyDeals for PropertyDeals' own unlawful conduct where prohibited by law.

24. Governing Law

The Federal Arbitration Act governs Section 19. Except to the extent preempted or prohibited by applicable law, these Terms and any nonarbitrable dispute are governed by Wisconsin law without regard to conflict-of-law rules. This choice does not deprive a consumer of nonwaivable protections of the law of the consumer's state of residence.

25. Changes to These Terms

We may update these Terms prospectively. We will post the updated version with a new date. For material changes, we will provide reasonable advance notice and obtain renewed assent where required. Changes do not retroactively alter rights or obligations unless you agree or law permits.

Continued use after a nonmaterial update takes effect constitutes acceptance. If you do not agree to an update, stop using the Platform and close your account before it takes effect.

26. General Terms

These Terms, the Privacy Policy, and any feature-specific terms presented to you form the entire agreement about the Platform and supersede prior agreements on the same subject.

You may not assign these Terms without our written consent. We may assign them in connection with an affiliate, financing, merger, acquisition, reorganization, or sale of assets, subject to applicable law.

If a provision is unenforceable, it will be enforced to the maximum extent permitted and the remainder will remain effective. Failure to enforce a provision is not a waiver. Headings are for convenience. "Including" means "including without limitation." Electronic records and signatures are permitted. We are not liable for delay caused by events beyond reasonable control.

No agency, partnership, joint venture, fiduciary, employment, franchise, brokerage, or third-party-beneficiary relationship is created by these Terms.

Sections that by their nature should survive termination will survive, including provisions concerning User Content, restricted content, intellectual property, disputes, disclaimers, liability, release, indemnification, governing law, and general terms.
