Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the PropertyDeals platform (the “Platform”), operated by Riverstones LLC, a Wisconsin limited liability company, doing business as PropertyDeals, a registered Trademark of Riverstones LLC (“PropertyDeals,” “we,” “us,” or “our”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

PropertyDeals is an online platform that allows approved users to upload and view real estate deal information and to connect directly with other users.

PropertyDeals is a neutral technology platform only.

We do not act as a broker, agent, intermediary, advisor, or representative for any user or transaction.

PropertyDeals does not:

Act as a real estate brokerage or licensed agent

Represent buyers or sellers

Negotiate deals or terms

Draft, review, or modify contracts

Participate in closings

Hold funds, earnest money, or escrow

Collect commissions or success fees

Verify deal profitability, legality, or accuracy

All transactions, negotiations, and agreements occur entirely between users, outside the Platform.

To use the Platform, you must:

Create an account using a verified email address or via Google OAuth

Provide accurate and complete information

Maintain the security of your login credentials

You are responsible for all activity under your account.

Investors (default)

All users begin as Investors. Investors may view approved listings and REPs and contact other users directly.

Wholesalers

Users may apply to become Wholesalers. Wholesaler status is granted solely at PropertyDeals' discretion and requires manual approval.

As part of the approval process, wholesalers may be required to upload documentation demonstrating the success of previous transactions and recommendations from others.

PropertyDeals does not review, validate, alter, or represent these contracts in any way.

Approval does not constitute verification, endorsement, or validation of any deal.

By submitting a listing to the Platform, you represent and warrant that you hold a legally valid, assignable equitable interest in the property (e.g., a purchase and sale agreement) or are the titled owner of record.

Prohibition on Unauthorized Marketing: Marketing properties without a secured contract or legal authority is strictly prohibited.

Documentation: PropertyDeals reserves the right, but has no obligation, to request proof of ownership or equitable interest at any time.

Wholesaler Responsibility: Wholesalers are solely responsible for the accuracy of their listings, including information from third-party sources (ATTOM Data Solutions and OpenAI AI generated descriptions), their legal authority to market the deal, and ensuring compliance with all applicable local, state, and federal real estate laws.

No Guarantee: PropertyDeals does not guarantee that any listing is exclusive, valid, enforceable, or legally transferable.

Unauthorized remarketing or "daisy-chaining" of deals where the user does not hold a direct equitable interest is a violation of these Terms.

Termination: While PropertyDeals does not monitor every listing, we reserve the right to immediately suspend or permanently terminate accounts found to be stealing, misrepresenting, or improperly redistributing deals without authorization.

Liability: PropertyDeals assumes no liability for deal theft, misuse, or disputes between users regarding marketing and wholesaling rights.

Users may exchange contact information and communicate off-platform.

PropertyDeals:

Is not a party to user communications

Does not monitor communications

Is not responsible for disputes, misrepresentation, fraud, or non-performance

All users must conduct their own due diligence.

Property information may be sourced from third-party providers, including ATTOM Data Solutions, and may be incomplete, inaccurate, outdated, or estimated.

PropertyDeals makes no warranties regarding the accuracy, completeness, or reliability of any data displayed.

Users must independently verify all information.

PropertyDeals may use artificial intelligence tools, including OpenAI APIs, to generate property descriptions and marketing content.

User Verification: Users acknowledge that AI-generated descriptions may contain "hallucinations," factual errors, or omissions. You agree that you are solely responsible for reviewing, editing, and verifying all AI-generated content before publishing it.

No Liability: PropertyDeals accepts no liability for claims, damages, or disputes arising from unverified or inaccurate AI-generated content.

No Advice: AI content is for informational and marketing purposes only and does not constitute legal, financial, or investment advice.

Edits: Users are encouraged to edit and customize content and are liable for both AI-generated and their own posted and shared content.

Users are solely responsible for:

Conducting legal, financial, and factual due diligence

Verifying contracts, title, liens, zoning, and compliance

Assessing risks associated with any transaction

PropertyDeals makes no representation that users, listings, or transactions are legitimate, lawful, or non-fraudulent.

The Platform is currently offered free of charge.

PropertyDeals reserves the right to introduce paid features, subscriptions, or pricing models in the future.

Features may be modified, added, or removed at any time with or without notice.

PropertyDeals may suspend or terminate any account, remove listings, or restrict access at any time, for any reason, including violations of these Terms to the extent permitted by law.

No notice is required.

All Platform content, branding, and software are owned by PropertyDeals or its licensors.

Users retain ownership of their uploaded content (e.g., photos, deal data) but grant PropertyDeals a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, and sublicensable license to use, display, reproduce, and analyze such content for the operation and improvement of the Platform, including for historical data and analytics purposes.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE."

PROPERTYDEALS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROPERTYDEALS SHALL NOT BE LIABLE FOR:

LOST PROFITS

DEAL FAILURES

MISREPRESENTATION BY USERS

FRAUD OR SCAMS

DATA INACCURACIES

CONTRACT DISPUTES

THIRD-PARTY ACTIONS

TOTAL LIABILITY, IF ANY, SHALL NOT EXCEED $500.

You agree to indemnify and hold harmless PropertyDeals, Riverstones LLC, and its members from any claims, damages, losses, or disputes arising from:

Your use of the Platform

Your listings or communications

Your transactions with other users

Governing Law: These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles.

Venue: Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Milwaukee County, Wisconsin, and the parties hereby consent to the personal jurisdiction and venue therein.

Class Action Waiver: YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO BRING, PARTICIPATE IN, OR RECEIVE MONEY OR RELIEF FROM ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR SUIT.

Arbitration: At PropertyDeals' sole discretion, any dispute or claim arising out of or relating to these Terms or the Platform may be submitted to binding arbitration in Milwaukee, Wisconsin, under the rules of the American Arbitration Association.

PropertyDeals is committed to compliance with the Fair Housing Act and state/local fair housing laws. Users may not post content that indicates any preference, limitation, or discrimination based on race, color, religion, sex, handicap, familial status, national origin or sexual orientation. PropertyDeals reserves the right to immediately remove any content we deem discriminatory and to terminate the accounts of repeat offenders.

PropertyDeals respects the intellectual property rights of others. If you believe your copyright has been infringed, please send a notice to our Designated Copyright Agent at [contact@propertydeals.info PLACEHOLDER] containing:

A physical or electronic signature of the copyright owner or authorized agent;

Identification of the copyrighted work claimed to be infringed;

Identification of the material to be removed and its location on the Platform;

Your contact information (address, phone, email);

A statement that you have a good faith belief that use of the material is not authorized; and

A statement that the information in the notification is accurate, and under penalty of perjury, you are authorized to act on behalf of the owner.

PropertyDeals may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

The Platform is intended for users 18 years of age or older.

We do not knowingly collect data from minors.
